Please read this End User License Agreement carefully before installing or using Visual Analytics for BC ("Software"). By installing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.
1. Grant of License
Subject to your compliance with the terms of this Agreement and payment of applicable subscription fees, DYNASYS ("Licensor") grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely within your own Microsoft Dynamics 365 Business Central environment for your internal business purposes. This license is granted on a per-user basis as specified in your Microsoft AppSource subscription.
2. Restrictions
You may not: (a) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software; (b) modify, adapt, translate, or create derivative works based on the Software; (c) rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Software or any rights therein to any third party; (d) remove or alter any proprietary notices, labels, or marks on the Software; (e) use the Software for any unlawful purpose or in violation of any applicable laws or regulations; (f) use the Software to provide services to third parties, including as a service bureau or application service provider.
3. Intellectual Property
The Software and all copies thereof are proprietary to DYNASYS and title thereto remains in DYNASYS. All rights in the Software not specifically granted in this Agreement are reserved to DYNASYS. You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that the title and full ownership rights to the Software will remain the exclusive property of DYNASYS, and you will not acquire any rights to the Software except as expressly set forth in this Agreement.
4. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DYNASYS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DYNASYS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DYNASYS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF DYNASYS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, DYNASYS'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
6. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically and without notice from DYNASYS if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 3, 4, 5, 7, and 9 shall survive termination of this Agreement.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Istanbul, Republic of Turkey.
8. Changes to This Agreement
DYNASYS reserves the right to modify this Agreement at any time. Changes will be communicated through the Microsoft AppSource listing or via the contact email provided. Your continued use of the Software after any modification constitutes your acceptance of the revised Agreement.
