End User License Agreement (EULA)

1. License Grant

DYNASYS grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the software in your own Microsoft Dynamics 365 Business Central environments, for your internal business purposes, subject to this agreement and to payment of the applicable licence fees.

2. Licence Keys, Users and Term

• Licences are issued per Business Central company by DYNASYS as a licence key, for the number of named users and the period stated in the key or in your order.
• Only the users assigned to the licence in the Dynasys License Setup page may use the software's full functions. Users who only submit and follow maintenance requests do not require a licence.
• A licence key is valid only for the company it was issued for and may not be copied to other companies or environments, except to a test or sandbox copy for non-production use.
• Licences are annual unless agreed otherwise and are renewed by issuing a new licence key.

3. Trial

Each company receives a free trial of 30 days for up to 3 users, which starts the first time the software is used. The trial is for evaluation only. DYNASYS may extend a trial by issuing a trial licence key. Sections 6 and 7 apply in full to trial use.

4. Restrictions

You may not:

• reverse engineer, decompile or disassemble the software, or otherwise attempt to obtain its source code, except to the extent applicable law expressly permits;
• modify, adapt or translate the software or create derivative works from it;
• circumvent, disable or interfere with the licence key, the user limit or the trial mechanism;
• rent, lease, lend, sell, sublicense or otherwise transfer the software or a licence key;
• remove or alter any proprietary notices; or
• use the software for unlawful purposes or to provide services to third parties.

5. Intellectual Property

DYNASYS owns the software and all copies of it. All rights not expressly granted are reserved. Data you create with the software (machines, requests, activities, schedules, parts, photos and their history) belongs to you.

6. Warranty Disclaimer

The software is provided "as is" and "as available". To the maximum extent permitted by law, DYNASYS disclaims all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement. DYNASYS does not warrant that the software will be uninterrupted or error-free. The software supports maintenance planning; it does not replace the manufacturer's instructions, safety procedures or legal inspection obligations, which remain your responsibility.

7. Limitation of Liability

To the maximum extent permitted by law, DYNASYS is not liable for any indirect, incidental, special, exemplary, consequential or punitive damages, including machine downtime, production loss, loss of profits, revenue, data or business. DYNASYS's total liability is limited to the licence fees you paid for the software in the 12 months before the claim.

8. Termination and Expiry

This agreement remains in effect until it is terminated or your licence expires. DYNASYS may terminate your licence immediately if you breach this agreement. When a licence or trial ends, users can no longer use the software and scheduled activities are no longer created; your data remains in your Business Central database. Sections 5, 6, 7, 9 and 11 survive termination.

9. Governing Law and Jurisdiction

This agreement is governed by the laws of the Republic of Türkiye, without regard to its conflict-of-laws rules. The courts of Istanbul have exclusive jurisdiction over any dispute arising from it.

10. Changes to this Agreement

DYNASYS may update this agreement. The current version is published on this page; material changes are announced on this page or by e-mail to your licence contact, and apply to licences issued or renewed after the change.
